1. Agreement
These terms govern the relationship between Hotwireless ("we", "us", "our") and the customer ("you") in respect of services supplied by us, including captive portal software, hardware supply and installation, WiFi in Motion, and reputation management services.
2. Services
We provide the services selected on your signed proposal, order form, or subscription page. Service levels and scope are as described in that documentation.
3. Fees and payment
Monthly subscription fees are invoiced in advance. Hardware and installation fees are invoiced on delivery or completion. All amounts exclude VAT unless stated otherwise. Late payment may result in suspension of service with written notice.
4. Cancellation
Monthly subscriptions may be cancelled with one calendar month's written notice. Hardware and installation are non-refundable once supplied or installed. Custom integrations and once-off services are invoiced on acceptance and not refundable.
5. Acceptable use
You agree that your use of the service and the use by your guests will comply with the Acceptable Usage Policy. We reserve the right to suspend service for any activity that materially risks the network, other users, or our reputation.
6. Data and POPIA
You are the Responsible Party in respect of your guests' personal information; we act as the Operator. Our obligations and yours in relation to the Protection of Personal Information Act (POPIA) are set out in our Privacy Notice.
7. Liability
Our total liability to you in any 12-month period is limited to the amount paid by you for the service in that period. We are not liable for indirect or consequential loss, loss of profits, or loss of business.
8. Uptime
We aim for 99.5% monthly uptime of the portal infrastructure. Internet uplink reliability is your responsibility or that of your nominated ISP. In the event we materially fail to meet uptime, service credits are applied at our discretion per the terms of your subscription.
9. Changes
We may update these terms from time to time. Material changes will be communicated to you at least 30 days in advance. Continued use of the service after that constitutes acceptance.
10. Governing law
These terms are governed by the law of the Republic of South Africa. The parties submit to the jurisdiction of the South African courts.
